OSMH Annual General Meeting moving online and rescheduled to August 25th due to COVID-19 restrictions
(June 15, 2020 – Orillia, ON) – Originally scheduled for Tuesday, June 23, 2020, the Annual General Meeting (AGM) of Orillia Soldiers’ Memorial Hospital (OSMH) Corporation is being rescheduled and moved to a virtual platform due to the COVID-19 pandemic.
The date for the rescheduled AGM is Tuesday, August 25, 2020.
The Hospital’s Board of Directors, which has been conducting its meetings on a virtual platform since the pandemic was declared, endorsed the AGM proposal at its May 26th meeting.
“While different than previous years, the 2020 AGM will achieve all the necessary requirements in our business cycle,” said Al Scott, Board Chair. “In addition, it may also open the door to new and innovative ways to conduct business of the corporation now and into the future.”
In recognition of the challenges posed by the pandemic, an amendment was made to the Public Hospital’s Act that provides hospitals with additional time to complete their AGM. The previous July 31st deadline has been extended to August 28th.
The hospital also confirmed that conducting the meeting through a virtual, online platform is acceptable under the Emergency Management and Civil Protection Act, noting that the definition of telephonic or electronic means of meeting was allowed under the Corporations Act*.
OSMH has pushed the original AGM date back to allow for proper notification of members interested in attending the meeting.
*An Annual Meeting may be held by telephone, electronic or other communication facilities during special circumstances (e.g. a pandemic that prohibits physical gatherings) that permit all persons participating in the meeting to communicate adequately with each other, and a Member participating by such means is deemed to be present at that meeting. Electronic meetings saved electronically may be used as minutes to satisfy legal requirements under the Board of Trade Act.
